LegalFormsOS — Master Services Agreement (MSA)

Last updated: 2026-07-14. Version: 2026-07-14. This MSA governs the ongoing commercial relationship between LegalFormsOS and a professional customer using the Service. It incorporates the Terms of Service, Privacy Policy, Refund Policy, and DPA by reference; if a signed order form or enterprise agreement exists, that document controls over any conflict.

1. SERVICES. LegalFormsOS provides access to its document-automation software on a subscription and/or per-use basis, as described at purchase. LegalFormsOS is software only — not a law firm and not the customer's counsel (see the Terms).

2. TERM & RENEWAL. This MSA applies for as long as the customer maintains an account. Subscriptions renew per their stated cycle until cancelled. Either party may terminate for material breach not cured within 30 days of notice, or immediately for the other's insolvency or unlawful use.

3. FEES & TAXES. Fees are as displayed at purchase. Paid Credits, Bonus Credits, refunds, and the 20% reprogramming fee are governed by the Refund Policy. The customer is responsible for applicable taxes other than LegalFormsOS's income taxes. Late amounts may incur suspension.

4. CUSTOMER OBLIGATIONS. The customer will: use the Service lawfully and within its professional license; keep credentials secure and enable 2FA; be solely responsible for reviewing, verifying, signing, notarizing, filing, and serving all documents; obtain all consents needed to submit client data; and not engage in the unauthorized practice of law. The customer is the controller of its client data (see the DPA).

5. SERVICE LEVELS & SUPPORT. LegalFormsOS will use commercially reasonable efforts to keep the Service available and to respond to support requests at support@legalformsos.com. The Service is provided "as is" and "as available"; no specific uptime is guaranteed unless stated in a signed order form. Planned maintenance is performed with reasonable care.

6. SECURITY & DATA PROTECTION. LegalFormsOS maintains the security measures in the DPA Annex A and its security program (see /p/security), including encryption in transit and at rest, tenant isolation, continuous self-assessment, and a documented incident-response plan. LegalFormsOS will notify the customer of a personal-data breach affecting its data per the DPA.

7. CONFIDENTIALITY. Each party will protect the other's non-public information with reasonable care and use it only to perform under this MSA, excluding information that is public, independently developed, or lawfully obtained, or as required by law.

8. INTELLECTUAL PROPERTY. LegalFormsOS retains all rights in the Service. The customer retains all rights in its data and grants LegalFormsOS a limited license to process it to provide the Service. Official government forms are public documents; LegalFormsOS claims no ownership of them.

9. WARRANTIES & DISCLAIMERS; LIMITATION OF LIABILITY; INDEMNITY. The disclaimers, "as-is" provision, limitation of liability, and indemnification in the Terms of Service apply to this MSA and are incorporated here in full.

10. DISPUTE RESOLUTION. The binding individual arbitration, class-action waiver, jury-trial waiver, governing law (Florida), venue, and one-year limitations period in the Terms of Service apply to this MSA.

11. GENERAL. Neither party may assign this MSA without consent, except LegalFormsOS may assign to a successor. Notices go to the account email and support@legalformsos.com. If any provision is unenforceable it is severed and the rest survives. This MSA, with the incorporated documents, is the entire agreement and supersedes prior understandings. Neither party is liable for events beyond its reasonable control.
